PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By using konnectedtech.com (the “Site”), the KTI platform, the KTI API, or any of our plans, builds, or services (collectively, the “Services”), you (“Customer,” “You”) agree to these Terms and Conditions (“Terms”) established by Konnected Technologies Incorporated (“KTI,” “Us,” or “We”), based in Denver, Colorado. You and KTI may be referred to together as the “Parties” or individually as a “Party.” These Terms are a legally binding agreement between You and KTI. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU MUST NOT USE THE SERVICES AND MUST STOP USING THEM IMMEDIATELY.
These Terms incorporate by reference our Privacy Policy. If You and KTI sign a Services and Licensing Agreement, order form, or statement of work (each, a “Signed Agreement”), the Signed Agreement controls wherever it differs from these Terms.
1. Who can use the Services
The Services are offered to organizations, such as housing providers, cities, counties, states, health care organizations, schools, nonprofits, and funders, and to the people they invite. You must be at least eighteen (18) years old and have the legal authority to agree to these Terms on behalf of Your organization. If You are not sure whether You have that authority, please contact founder@konnectedtech.com before using the Services.
People who take an evaluation at a customer’s invitation do not need an account. Their information is handled as described in our Privacy Policy.
2. The Services
Plans and services. KTI offers yearly platform plans (Essentials, Network, and Statewide), the One-Time Community Evaluation, custom builds, the KTI API, and data licensing for qualifying organizations. What You receive is described on the Site, in Your plan, and in any Signed Agreement.
Changes to plans. If a plan You subscribe to changes to remove or add features, KTI will give You at least thirty (30) days’ notice and the chance to change Your plan.
Custom work. Work outside Your plan, including custom builds, is provided under a statement of work. KTI may decline any requested work for any reason.
Early access. Some features, including the KTI API and features described as “coming next” or “when released,” are in early access or on our roadmap. Early access features may change, and roadmap features are not promised by a set date unless a Signed Agreement says so.
Professional services and Key to Your City®. Analysis and reports, training, on-site engagement, consulting, Resident Success® certification, and the Key to Your City® check-in are offered through our licensed partner, B-Konnected, LLC, under B-Konnected, LLC’s own terms.
InnoSpec™ inspection software. InnoSpec™ is a tool for inspectors. By using it, You confirm that each person who performs an inspection is qualified and authorized to do so. The inspector and You are responsible for the inspection, its results, and any decision based on them. KTI does not perform inspections, does not certify that a unit meets any standard, and is not responsible for pass or fail decisions. Inspection data You enter is Customer Data and is handled as described in the Data section below.
Communication. KTI will name a contact for Your account and aims to respond within two (2) business days. KTI is a small business, and We will make our best effort to tell active customers ahead of time when their contact will be unavailable for an extended period.
3. Your responsibilities
By using the Services, You affirm that You have full power and authority to agree to these Terms, that doing so does not violate any law, contract, or governing document that applies to You, and that no pending claim or financial condition prevents You from performing Your obligations.
You agree to:
- Name an authorized representative to coordinate with KTI, and tell us when that person or their contact information changes;
- Cooperate with KTI and provide the access, information, and people needed to deliver the Services;
- Respond to communications within three (3) business days, or tell us when You cannot;
- Get any consents or notices required by law or by Your own policies before inviting people to take an evaluation or sending us information about them;
- Use the Services only for legal purposes, and never use scores, seals, or alerts in a way that violates fair housing, civil rights, privacy, or anti-discrimination laws; and
- Treat KTI and its team professionally and with respect.
Failure to meet these responsibilities may be a material breach of these Terms, and KTI may suspend or end the Services.
4. Accounts, access keys, and acceptable use
You are responsible for the people You give access to, and for keeping passwords and API keys confidential. Each API key is issued to one customer under a Signed Agreement and may not be shared, sold, or transferred. Tell us right away at team@konnectedtech.com if You believe an account or key has been compromised.
You may not: copy, resell, or sublicense the Services; reverse engineer or attempt to access the source code, scoring model, or algorithms; test or bypass security; overload the Services; use automated tools to collect content from the Site or platform, including scraping for artificial intelligence training; or use the Services to build a competing product.
5. Scores, seals, and alerts
KTI scores, KTI Social Impact Seals, alerts, dashboards, and reports are tools to support Your decisions. They are based on the answers people give and on a tested statistical scoring model. They are not a guarantee of any outcome and are not legal, medical, clinical, financial, or other professional advice. Recommended response times are guidance for Your team. You remain responsible for the actions You take, or do not take, based on the Services.
Not an emergency service. KTI does not provide emergency, crisis, housing placement, or medical services and does not monitor alerts on Your behalf. Anyone needing housing or emergency help should call 2-1-1. Anyone in danger should call 9-1-1.
Decisions about people. KTI reports results by site, not by person. You agree not to use KTI scores, seals, or alerts as the only basis for a decision about an individual’s housing, health care, education, employment, credit, insurance, or access to government services. A person on Your team must review any such decision. If a law that governs automated decision-making, such as Colorado’s law on automated decision-making technology, applies to how You use the Services, You are responsible for the notices and rights that law requires of You, and KTI will provide documentation about the Services that You reasonably request to help You comply.
Seals. The right to display a KTI Social Impact Seal is limited to active customers whose sites have earned that seal. Subscribing to a plan does not, by itself, entitle You to any seal. KTI may require You to stop displaying a seal if Your plan ends, Your site no longer qualifies, or Your license to display it ends.
6. Fees, payment, and taxes
Setup fees. Setup fees are due when You sign up or upgrade, and setup begins once the fee is received. If a setup fee is not paid within seven (7) days, unless other arrangements have been made, KTI may treat the order as void.
Plan payments. Yearly plans and API plans are billed yearly in advance unless Your Signed Agreement says otherwise. Automatic payments are charged on the billing date unless You cancel in writing, with the subject line “Change of Payment” or “Payment Cancellation,” at least fifteen (15) days before that date and provide a new payment method.
Other payments. Fees for custom builds and other work are due as stated in the statement of work. Invoices are due within the time stated on the invoice or in Your Signed Agreement, or within thirty (30) days of the invoice date if no time is stated.
Discounts. Discounts are limited-time unless a Signed Agreement says otherwise, and conditional discounts may end if You no longer meet the condition.
Late or no payment. KTI may pause or end the Services if a payment fails or an invoice is not paid on time. Billing disputes must be raised within fifteen (15) business days of receiving the invoice. Interest on late payments applies only if Your Signed Agreement provides for it.
Taxes. You are responsible for applicable taxes unless a Signed Agreement says otherwise.
Refunds. KTI does not refund Services already provided. Refunds or partial refunds may be given in special circumstances, or if KTI ends Your Services for a reason other than Your material breach, and then only for the unused portion.
Medicaid and billing. KTI is not a Medicaid provider and does not submit claims to payers. If You use KTI information in Your own billing, You are responsible for the accuracy of Your claims and for following all program rules. KTI never takes a share of Your reimbursement.
7. Intellectual property
KTI owns and creates significant intellectual property, including patent pending technology, the Location Monitoring and Evaluation System, the scoring model, KTI Social Impact Seals, software, the KTI API, evaluations, documentation, reports, datasets, names, logos, processes, and methods, whether or not marked as such (“KTI Intellectual Property”). KTI also licenses intellectual property from others, and all protections in these Terms extend to that licensed property.
KTI grants You a limited, non-exclusive, non-transferable, revocable license to use the Services as included in Your plan or Signed Agreement, only for Your internal purposes. All other rights are reserved. Reports and other deliverables are confidential to You. You may use them for the purposes in Your plan or statement of work, but You may not sell them, publish them (except as Your statement of work allows), use them to compete with KTI, or reverse engineer them. If You would like ownership of any deliverable, contact founder@konnectedtech.com.
8. Data
Your data. Ownership of the information You and the people You serve provide through the Services (“Customer Data”) is set by Your Signed Agreement. KTI uses Customer Data to provide, secure, and support the Services for You.
De-identified data. Unless Your Signed Agreement says otherwise, You grant KTI the right to create de-identified and aggregated information from Customer Data, meaning information that cannot reasonably be used to identify a person, and to use it to improve the Services, conduct research, prepare reports and comparisons, and license data to qualifying nonprofit, government, and public benefit organizations. KTI never sells personal information in a form that identifies a person.
After the Services end. For thirty (30) days after Your Services end, You may request an export of Your site-level results. After that, KTI may delete or de-identify Customer Data as described in our Privacy Policy, unless the law or Your Signed Agreement requires otherwise.
9. Confidentiality
Each Party will keep confidential any non-public information the other Party shares in connection with the Services, and will use it only as needed to provide or receive the Services. To deliver the Services, KTI receives confidential information, and sometimes personal information, from many sources. KTI will not give You another party’s confidential or personal information unless KTI has an agreement with its owner allowing that use.
KTI’s scoring model is a statistical model, not generative artificial intelligence. KTI may use secure business software, which can include artificial intelligence features, to help deliver the Services, and doing so does not breach this section. You agree not to enter KTI’s confidential information or KTI Intellectual Property into a public artificial intelligence system without KTI’s written permission.
10. Third-party services
The Services rely on third parties, such as cloud hosting, database, email, scheduling, customer relationship, and payment providers. Links to third-party sites are provided for convenience, and their own terms and privacy policies apply.
11. Disclaimer and limitation of liability
EXCEPT AS STATED IN A SIGNED AGREEMENT OR REQUIRED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND KTI DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KTI does not promise that the Services will be uninterrupted or error-free, or that they will produce any particular result.
Neither KTI nor its owners, directors, officers, employees, contractors, or agents will be liable for any indirect, consequential, incidental, special, or punitive damages, including lost profits, lost data, or delays. KTI’s total liability for any claim arising out of or related to the Services or these Terms is limited to actual damages not to exceed the fees You paid to KTI in the twelve (12) months before the claim, or five hundred dollars (US$500) if You have paid no fees.
12. Indemnification
You agree to defend, indemnify, and hold harmless KTI and its affiliates, officers, directors, agents, partners, and employees from any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by a third party due to or arising out of: (1) Your use of the Services; (2) Your breach of these Terms; (3) any breach of Your representations; (4) Your violation of anyone’s rights, including intellectual property and privacy rights; or (5) actions You take or do not take based on the Services. KTI may, at Your expense, take control of the defense of any such claim, and You agree to cooperate. KTI will make reasonable efforts to notify You of any such claim.
13. Term, renewal, and termination
Term. These Terms apply while You use the Services and until all fees are paid. Plans run for the term in Your Signed Agreement, or one (1) year if none is stated. Your plan, order form, or Signed Agreement will state the recurring charge, the renewal term, and how to cancel.
Automatic renewal. Unless Your Signed Agreement says otherwise, plans renew automatically for one (1) year terms, and never for longer than one (1) year at a time without Your express written consent. KTI will send You a reminder by email at least twenty-five (25) and no more than forty (40) days before each renewal, stating the renewal date, the charge, and how to cancel. You may cancel renewal at any time before the renewal date by emailing team@konnectedtech.com with the subject line “Cancel renewal,” or by any online cancellation option KTI provides. Canceling renewal ends Your plan at the end of the current term, with no extra charge.
Ending early. Either Party may end a plan early with at least ninety (90) days’ written notice. If You end early, You owe payment for those ninety (90) days plus half of the rest of the unused term (not more than eleven (11) months), and KTI may revoke discounts. If KTI ends early under this paragraph, You owe payment only for the ninety (90) days and keep all discounts. KTI will refund any prepayment, less amounts owed, within thirty (30) days.
Breach. You may end a plan with thirty (30) days’ written notice if KTI materially breaches these Terms and does not fix the breach within thirty (30) days of Your written notice. KTI may end the Services immediately for non-payment more than ten (10) days past due, cancellation of automatic payment without a replacement, or criminal or harmful conduct toward KTI or its team, and with fifteen (15) days’ written notice for any other material breach You do not fix within that time.
Custom work. Unless a statement of work says otherwise, either Party may end custom work with ten (10) days’ written notice. Prepayments are not refunded unless KTI ends the work for a reason other than Your breach. Ending custom work does not end Your plan.
After termination. All licenses end. You must stop using KTI Intellectual Property and seals and return or destroy KTI’s confidential information. Sections 5, 7, 8, 9, 11, 12, and 15 survive termination.
14. Independent contractor
KTI is an independent contractor. Nothing in these Terms creates an employment, joint venture, partnership, or agency relationship. KTI controls its own methods and is responsible for its own staff, contractors, taxes, and insurance.
15. Disputes and governing law
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles and regardless of Your location. If a dispute cannot be resolved within fourteen (14) days after one Party tells the other in writing, the Parties agree to mediation with JAMS in Denver, Colorado, with virtual appearance available. Each Party bears its own mediation costs.
IF THE DISPUTE IS NOT RESOLVED IN MEDIATION, OR IF EITHER PARTY DOES NOT AGREE TO A MEDIATOR OR DATE WITHIN THIRTY (30) DAYS AFTER MEDIATION IS REQUESTED, THE DISPUTE WILL BE RESOLVED BY FINAL, BINDING, CONFIDENTIAL ARBITRATION WITH JAMS IN DENVER, COLORADO, UNDER ITS THEN-CURRENT COMMERCIAL ARBITRATION RULES. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL. The arbitrator will be a different person than the mediator. The prevailing Party is entitled to reasonable costs and attorneys’ fees. Either Party may ask the arbitrator for injunctive relief, and the award may be enforced in any court with jurisdiction.
If You are a government entity, see Section 17 for how these Terms apply to You.
16. Changes to these Terms
KTI may update these Terms. We will post the update on the Site and email active customers. Updates take effect thirty (30) days after posting. If You have more than one month left in Your term and object to an update, tell us in writing at founder@konnectedtech.com before it takes effect. The prior Terms will apply to You until Your term ends, and the updated Terms will apply if You renew.
17. General
Severability. If any part of these Terms is found unenforceable, that part is removed in its smallest part, and the rest stays in effect.
Force majeure. Neither Party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, public health emergencies, or widespread outages. This does not excuse any payment owed.
Assignment. You may not transfer these Terms without KTI’s written consent. KTI may transfer them as part of a merger, acquisition, or sale of assets.
Government customers. If You are a government entity and the law that governs You does not allow automatic renewal, indemnification, interest on late payments, or arbitration, those terms apply to You only to the extent that law allows, and the rest of these Terms still apply. Your Signed Agreement controls wherever it addresses these topics.
Entire agreement. These Terms, the Privacy Policy, and any Signed Agreement are the entire agreement between You and KTI about the Services.
